Article I Name
The name of the organization is The Ohio State University Alumni Club of the Sacramento Valley, hereafter referred to as the Club.
Article II Objective
The primary objective of the Club is to promote the best interests of The Ohio State University, hereafter referred to as the University and The Ohio State University Alumni Association, Inc. (hereafter referred to as the Association). To that end, the Club will:
1. Create opportunities for alumni to meet one another on a social, cultural, and intellectual basis.
2. Encourage qualified students to enroll in the University.
3. Provide scholarships to qualified and deserving students enrolling in the University.
4. Support the Association by encouraging eligible club members to join the Association.
Article III Membership and Dues
Section 1. Same as Article III, Section 1 of the Constitution.
Section 2. Same as Article III, Section 2 of the Constitution.
Section 3. Honorary members are permitted to vote on matters of the Club.
Section 4. Associate Members are permitted to vote on matters of the Club.
Section 5. Dues: Annual dues will be collected from all members. The Clubs Board of Governors determines the amount of the dues.

Article IV Officers
Section 1. Same as Article IV, Section 1 of the Constitution.

Section 3. Term of Office
A. Elected Officers: The term of the elective Officers are for a term of two (2) years and begin on the first (1) day of January and ending on the thirty-first (31) day of December. An Officer may be elected for one additional term. An Officer who is elected to fill a vacancy is eligible to run for a full term thereafter. Any Officer who has been termed out may be elected to the same office after being out for a full term.
B. Past-President: The term of the office of Past-President is for two years.
Article V Duties of Officers
Section 1. Duties of Officers
A. President: The President has the duties set forth in the constitution and such other duties as the Board from time to time assigns. (S)he appoints all chairpersons of the Standing committees with the approval of the Board and is an ex-officio member of all committees.
B. Vice President: The Vice President has the duties set forth in the Constitution and presides over all meetings in the absence of the President and perform such duties as the President and the Board assigns.
C. Secretary: The Secretary has the duties set forth in the Constitution, keeps the minutes of all the meetings of the Club, and sends out notices of the meetings, and prepares correspondence as directed. (S)he is responsible for handling all mail sent to the Club and any other duties as required by the Board. The Secretary is in charge of the Annual Elections, ensuring eligibility of voters, ballot preparation, counting results in contested elections, and reporting results to the Board and OSUAA.
D. Treasurer: The Treasurer has the duties set forth in the Constitution and is responsible for the collection and disbursements of all funds at the discretion of the Board and the maintenance of appropriate accounts and records. This officer prepares and presents consolidated income/expense reports to the Board as directed. The Treasurer submits an Annual Report to OSUAA as required.

Article VI Board of Governors
Section 1. Same as Article VI, Section 1 of the Constitution.
Section 2. Same as Article VI, Section 2 of the Constitution.
Section 3. Same as Article VI, Section 3 of the Constitution.

Section 5. Same as Article VI, Section 5 of the Constitution.
Section 6. Board Meetings.
A. The Board meets at the discretion of the President. Due notice of such meetings is given by written (mail or email) or verbal notification if time does not permit for written notification to all Board members. To maintain the Clubs charter the Board must hold at least one Annual Meeting.
B. A quorum will consist of a majority of the members of the Board.
C. After a meeting has been called, the order of business is as follows:

2. Approval of Minutes of previous meeting
3. Report of Officers
4. Report of Committees
5. Unfinished business
6. New Business
7. Suggestions by members
8. Adjournment

Article VIII – Committees

A. Meetings & Programs: Same as Article VIII, Section 1a of the Constitution.
B. Membership: Same as Article VIII, Section 1b of the Constitution.
C. Student Recruitment and Scholarship: Same as Article VIII, Section 1c of the Constitution.

Article IX Elections
Section 1. There will be an Annual Meeting of the Club to elect officers on a date set by the Board. Due notice will consist of mail or email notification to all members required to be notified.
Section 2. Only those persons who are members of the Club as of the date of the Annual Meeting will have the right to vote.
Section 3. A quorum will consist of those members present at the meeting.

Article XI Amendments
These Bylaws may be amended at any Regular or Special meeting of the Club. Notice of the amendment will be sent to the members at least 15 days before the meeting that it is to be voted upon. A majority of those present is necessary for approval. The Bylaws will be amended to conform to any changes in the Association Constitution.
